Partner Programme Offer

SAM RESHU LLC (OOO «САМ РЕШУ», OGRN 1267700319920, INN 9714096590), represented by its General Director Yaroslav Andreevich Kononenko acting under the charter, the "Company", publishes this public offer (Art. 435, 437(2) of the Russian Civil Code) to self-employed persons, sole proprietors and legal entities (the "Partner"). The offer is accepted by submitting an application at samreshuuu.ru/partners with the consent box ticked (Art. 438(3) of the Civil Code). Definitions: "Service": the samreshuuu platform (samreshuuu.ru). "Dashboard": the Partners section in the Service settings. "Client": a person attributed to the Partner under section 3. "Payment": money actually received from a Client in payment for the Service. "Commission": the fee paid to the Partner under this offer.
1. Subject
The Partner finds and brings Clients to the Service, and the Company pays the Commission. The Partner acts in its own name, does not enter into contracts on behalf of the Company and does not accept Client payments.
2. Participation
The Partner applies at samreshuuu.ru/partners. The Company reviews the application and may decline it without giving reasons. Once approved, the Partner receives a referral link and code in the Dashboard.
3. Client attribution
A Client is attributed to the Partner if they signed up via the Partner's referral link, or entered the Partner's code within 30 days of signing up and before their first Payment. Not attributed: the Partner and members of its own organisation in the Service; persons who have already made a Payment; persons already attributed to another Partner.
4. Commission
The Commission is 20% of each Payment by a Client for 12 months from the first accrual for that Client. The Commission includes all taxes and levies the Partner pays itself, including VAT if the Partner is a VAT payer. If a Payment is refunded to the Client in full or in part, the Commission is reduced in the same proportion. If it has already been paid out, the difference is deducted from later payouts.
5. Payout and acceptance
The Company pays the Commission once a month, on the 15th of the month following the Payment, to the details given in the Dashboard, provided the amount due is at least 1,000 ₽. A smaller amount rolls over to the next month. The accrual report in the Dashboard is the act of services rendered. If the Partner raises no objection within 5 business days of its publication, the services are deemed accepted. A self-employed Partner sends the Company a receipt for each payout within 3 business days. The Company may suspend payouts until the Partner confirms its tax status or provides payout details.
6. Restrictions
The Partner must not: - use the Service name and trademarks, including misspellings, in keywords and domains of search and contextual advertising; - send messages to people who have not agreed to receive them; - pose as the Company or make false statements about the Service; - refer itself, its employees or its own organisation. No Commission accrues on Payments obtained in breach of this section, and any accrued Commission is cancelled.
7. Advertising
If the Partner distributes advertising for the Service, it complies with Art. 18.1 of the Russian Advertising Law itself: registers the ads with an advertising data operator, adds the "Advertising" label, the advertiser details and the identifier, submits reports and pays the mandatory levies. On request, the Company provides the Partner with the details about itself needed for this. The Partner reimburses the Company for fines and costs caused by its breach of this section.
8. Personal data
The Partner does not pass personal data of prospective Clients to the Company: a Client signs up to the Service and consents to the processing of their data themselves. In the Dashboard the Partner sees only the information needed to calculate the Commission. The Company processes the Partner's data to perform this offer under the Privacy Policy (samreshuuu.ru/privacy) and may disclose it to the extent required by law, including to the unified register of online advertising.
9. Changes and termination
A new version of the offer is published on this page with its date and applies to the Partner once the Partner accepts it in the Dashboard. Either party may terminate the agreement at any time by notifying the other through the Dashboard or by email. After termination no Commission accrues on new Payments, and Commission accrued before termination is paid out as usual, except in the cases of section 6.
10. Liability
The Company's liability under the agreement is limited to the Commission paid to the Partner over the last 12 months. The Partner is an independent party and is not an employee or representative of the Company.
11. Governing law and details
This offer is governed by Russian law. Disputes are settled by a claim procedure (10 business days to respond), then in court at the Company's location.
