Service Agreement
Effective April 1, 2026
IE Kononenko Yaroslav Andreevich (OGRNIP 325774600902629, TIN 973302875846), hereinafter the "Provider," publishes this public offer (Art. 435, Cl. 2 Art. 437 of the Civil Code of the RF), addressed to any individual or legal entity (hereinafter the "Client"). Definitions: "Service" — the samreshuuu platform (samreshuuu.ru). "Plan" — the selected set of conditions at samreshuuu.ru/pricing. "Token" — a unit measuring the volume of Service usage. "Skill" — a user-created automation in the Service catalog. "Top-up" — an additional token package beyond the Plan limit.
1. Subject of the Offer
The Provider grants the Client access to the Service for working with documents, integrations, automations, and other AI platform functions within the scope of the selected Plan. The full list of features is published at samreshuuu.ru/features. Service outputs are generated using machine learning models, are advisory in nature, and do not constitute professional advice. The Client independently assesses their suitability.
2. Acceptance of the Offer
Acceptance (Art. 438 of the Civil Code of the RF) is the payment for a Plan, Top-up, or Skill. The Agreement is deemed concluded upon receipt of payment. By making payment, the Client confirms having read this Offer, the Privacy Policy (samreshuuu.ru/privacy), and the Terms of Service (samreshuuu.ru/terms). Use of the free plan does not constitute acceptance of this Offer and is governed by the Terms of Service.
3. Pricing and Payment
Prices are determined by Plans at samreshuuu.ru/pricing, quoted in rubles. VAT is not charged (simplified taxation, Cl. 2 Art. 346.11 of the Tax Code of the RF). Payment is 100% prepayment for a month or year via InvoiceBox. A fiscal receipt is sent electronically (FZ-54). Subscriptions renew automatically unless the Client disables auto-renewal in the account. A charge notification is sent 3 days in advance by email. Top-ups are one-time purchases, do not expire, and are consumed after the Plan limit is exhausted. The Provider may change prices with 30 days' notice. New prices apply from the next paid period. Team plans are calculated per seat.
4. Service Delivery
Access to the Service is provided 24/7, except during maintenance. The Provider makes reasonable efforts to ensure availability but does not guarantee uninterrupted operation. The Provider may update functionality, interface, and integrations. Technical support: support@samreshuuu.ru. Token consumption is displayed in the account.
5. Rights and Obligations
The Provider undertakes to: ensure access to the Service within the Plan scope; ensure data confidentiality (152-FZ); not use the Client's data for model training without separate consent. The Provider may suspend access if the Client violates the Offer terms. The Client undertakes to: use the Service in compliance with RF law; not share credentials with third parties; not attempt to bypass security systems or gain unauthorized access. The Client has the right to: use Service outputs for their own purposes without restriction; cancel services at any time (Art. 32 of the Consumer Rights Protection Law).
6. Refunds
The Client may cancel at any time (Art. 32 of the Consumer Rights Protection Law). Within 14 days of payment — full refund if no more than 10% of tokens were used. After 14 days — proportional to the unused remainder minus consumed tokens. Top-up refunds — for unused tokens. For refunds: support@samreshuuu.ru. Refund period — 10 business days via the original payment method. Auto-renewal is disabled in the account; access is retained until the end of the paid period.
7. Liability
The Provider's total liability is limited to the amount paid by the Client over the preceding 12 months. The Provider is not liable for: losses from using Service outputs without verification; interruptions caused by the Client or third parties; actions of external services connected via integrations. The Parties are released from liability in cases of force majeure. The Client is responsible for the security of their credentials.
8. Term and Termination
The Agreement is effective from acceptance until the end of the paid period (including auto-renewals). The Provider may amend the Offer by publishing a new version at samreshuuu.ru/offer and notifying by email. Changes take effect 10 days after publication. The Client may terminate at any time via the account. Refunds per Section 6. The Provider may terminate for violation of the Offer or illegal use of the Service. After termination, data is retained for 30 days, then deleted.
9. Intellectual Property and Skills
Rights to the Service belong to the Provider. The Client's materials (documents, drive) remain their property. The Client may use Service outputs without restriction. The Client may publish Skills in the catalog. The Author grants the Provider a non-exclusive license to distribute the Skill and warrants it does not infringe third-party rights. The Provider may remove a Skill for violations of terms or law.
10. Governing Law and Details
The Offer is governed by Russian Federation law. Disputes are resolved through a pre-trial claim procedure (10 business days), then in court. Consumers may file claims at their place of residence (Art. 17 of the Consumer Rights Protection Law).
